VICTORIA CAPITAL CLUB

POLICIES

Commitment of Members:

The value of the Victoria Capital Club to its member is in attendance and sharing of information. The Club expects and requires members to attend meetings, on a reasonably regular basis, if they are to continue in good standing.

 

Meetings:

The Club meets for a luncheon at the Union Club on the first and third Thursday of each month unless members are otherwise advised. The Victoria Capital Club recognizes that from time to time, some members may be out of town on extended stays, or unduly tied up with high levels of business activity. Advising the Chair of such situations will be accepted as reasonable notice of non-attendance. Where such notice of extended absence has not been given, the Club expects that all members will attend meetings. Per occasion notice of non-attendance at a meeting is to be provided at least before 10:30 AM on the morning of the scheduled meeting. Meetings begin at 11:45 AM, lunch at 12:10 PM and meetings will end by 2:00 PM.  Members are requested to be on time and stay until the earlier of 2:00 PM or until the Chair has provided all attending members the opportunity to speak at the meeting. There is no smoking at the luncheon meetings.

Confidentiality of Meetings:

Club members are encouraged to speak openly at meetings with the knowledge that all matters discussed will be kept in the strictest confidence. Members attending agree information shared at the club will not be divulged to anyone outside the membership without the express consent of the member(s) involved.

 
Membership Qualifications:

The Victoria Capital Club seeks to attract quality candidates to its membership. A broad cross-section of businesses and professions should be represented in the membership make-up. To qualify as a member, an individual should be an owner, partner or a chief executive officer of a business or profession in their particular field. In order to respect confidentiality and avoid conflicts of interests, not more than one member of any particular profession or business should be represented, unless the existing member of that profession is in agreement. To reflect the changing face of business, the Club will place a priority in attracting new candidates from industries that are prominent in the make-up of our local and regional economy.

New Member Nomination Process:

Club membership is set not to exceed thirty-six (36) active members although new member nominations to fill vacancies can be made to the Chair at anytime during the year. Admission of new members is subject to the following process: Prospective new members should be nominated and seconded in writing and thereafter these nominations be delivered to the Club Chair who will maintain a list of potential candidates.

Priority for membership shall be determined by the chronology of their nomination and members should limit their nominations to one candidate per year. Admission of new members to the Victoria Capital Club will be limited to two occasions per year and on such occasions; no more than three new members will be admitted at one time.

On occasions that new members are considered, the Chair will circulate the names of candidates duly nominated, together with the names of proposing members and a short biography (4-6 sentences) of each proponent. For purposes  of confidentiality, circulations will be sent by post or e-mailed to members. Any member objecting to the admission of a new candidate will have 30 days in which  to contact the Chair in confidence and exercise their power of veto. Once the 30- day period has elapsed, the successful candidates will be invited to lunch with the Chair and thereafter accepted for membership.

Gender:

It is the position of the Victoria Capital Club that membership should be made up of the best-qualified candidates available, male or female.

Expected Behaviour:

It is expected of the Victoria Capital Club that all members will accord one another with mutual respect and that confidences will be kept at all  times.

Dismissal and Resignation:

If a Club member is dissatisfied with another’s behaviour, the matter should be brought up in a private manner with the Chair. In the event that the Chair feels  the behaviour has detracted materially from Club standards and expectations, or  if several members express a similar concern about the same member, the Chair will ask that member to refrain from attending the next meeting at which time  the matter will be dealt with by attending members. The Chair will then discuss the Club consensus with the absent member and request a resignation, if so desired by the Club.

If a Club member fails to pay dues despite a request from the Chair to do so, they will be asked to submit their resignation from the Club. In the event that a Club member becomes noticeable by their absence, the Chair or his/her designee will contact the non-attending member and inquire of their 

intentions for the future. Should the member be unable to make sufficient commitment for future meetings, the Chair may ask for the member’s resignation from the Club.

Change in Member Status:

Members who move from Victoria and subsequently return, can be nominated to re-join the Club providing an existing member from the same industry is agree- able. If there is no conflict, re-admittance may proceed under the normal nomination process.

Members who cease to be active in their profession or industry should be encouraged to nominate a new candidate from the same industry to compliment their own continuing membership and maintain the broadest possible representation.

Members who change professions to that of another member, shall be expected   to resign in order to avoid compromise of the member’s “freedom to speak in confidence” at Club meetings. If the profession or industry is such that compromise is unlikely, the Chair, in agreement with the affected member, may choose not to accept the offered resignation.

Club Matters:

Club functions include two dinner meetings per year where a guest speaker is invited to address the membership. The Club will pay for the dinner, which includes all drinks, after dinner liqueurs and cigars. The club may hold one summer function per year at the pleasure of the membership. The Club does not hold a Christmas party.

The Club will not get involved with or take up causes. Members can bring up issues important to them, however as a group, the Club will not expend time or money on such issues raised.

Members are encouraged to present investment opportunities to the membership with the understanding that such submissions will not use the Club as a primary marketing tool. Contact information on members will not be provided to anyone outside of the Club without that member’s express permission.

Club administration matters and policy decisions are handled at the discretion of the Chair. These matters will not be brought up for discussion at regular meetings unless the Chairman deems it necessary.

The Chair of the Victoria Capital Club serves for a period of two years and is responsible for recruiting a successor by the end of the  term.
